Explanation of Responses:

1. Mr. Toland was granted this performance-based option on March 7, 2016 pursuant to his Employment Agreement dated February 23, 2016. The option vested in full on December 1, 2016 upon the Board's determination that Mr. Toland achieved the required performance criteria, which was his relocation to the Boston area.

2. Mr. Toland was granted this option on December 1, 2016 pursuant to his Employment Agreement dated February 23, 2016. This option was fully vested on the December 1, 2016 grant date as the criteria for this grant, the recruitment and hiring of the senior leadership team, was deemed satisfied by the Board.
