Explanation of Responses:

1. The exercise price of the non-employee warrant is 31.02 Euros. The U.S. dollar equivalent of the exercise price is $36.50 using the European Central Bank rate as of August 4, 2020 (1.00 = $1.1765).

2. The Ordinary Shares underlying the warrant vest in four equal quarterly installments beginning on November 4, 2020.

3. The Ordinary Shares may be represented by American Depositary Shares, each of which currently represents one Ordinary Share.

4. The subscription price of the non-employee warrant is 1.51 Euros per warrant. The U.S. dollar equivalent of the subscription price is $1.78 using the European Central Bank rate as of August 4, 2020 (1.00 = $1.1765).
