Explanation of Responses:

1. Each warrant is exercisable to purchase one Class A ordinary share at $11.50 per share, subject to adjustment as described under the heading "Description of Securities--Warrants" in the Issuer's registration statement on Form S-1 (File No. 333-210854).

2. The warrants become exercisable beginning on the later of May 25, 2017 or 30 days after the completion of the Issuer's initial business combination as described under the heading "Description of Securities--Warrants" in the Issuer's registration statement on Form S-1 (File No. 333-210854).

3. The warrants expire five years after the completion of the Issuer's initial business combination or earlier upon redemption or liquidation as described under the heading "Description of Securities--Warrants" in the Issuer's registration statement on Form S-1 (File No. 333-210854).

4. The securities are held directly by CF Capital Growth, LLC. The reporting person is a manager of BilCar, LLC, which is a manager of CF Capital Growth, LLC, and as such may be deemed to beneficially own all of the securities held directly by CF Capital Growth, LLC. The reporting person disclaims beneficial ownership of such securities except to the extent of his actual pecuniary interest therein.
