1. Represents a grant of restricted stock under the Issuer's 2017 Omnibus Incentive Plan, which is scheduled to vest on December 31, 2018 subject to the continuous existence of a service relationship through the vesting date.

2. Represents Ordinary Shares and Private Placement Warrants held by BilCar, LLC ("BilCar"), of which the Reporting Person is the managing member of, as well as the controlling owner. The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
