1. Represents the conversion of Class B Common Stock into Class A Common Stock held of record by the Reporting Person.

2. The shares of Common Stock are held by VIP Petcare Holdings, Inc. Mr. Santana holds 50% of the equity interests of VIP Petcare Holdings, Inc.

3. The sale reported in this Form 4 was effectuated pursuant to a pre-established Rule 10b5-1 trading plan adopted by the reporting person.

4. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $26.94 to $27.45. The reporting person undertakes to provide to PetIQ, Inc., any security holder of PetIQ, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.

5. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $25.97 to $26.93. The reporting person undertakes to provide to PetIQ, Inc., any security holder of PetIQ, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.

6. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $27.65 to $28.36. The reporting person undertakes to provide to PetIQ, Inc., any security holder of PetIQ, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.

7. Each share of Class B Common Stock is convertible into one share of Class A Common Stock at the option of the holder and has no expiration date.

Remarks:

This report on Form 4/A amends and replaces in its entirety the Form 4 filed by the Reporting Person on June 4, 2019. This transaction was correctly reported as sale of shares on the original Form 4 filed on June 4, 2019 but incorrectly contained an acquisition transaction code.
