Explanation of Responses:

1. On March 10, 2020, the issuer granted to the reporting person 30,000 restricted stock units (RSU's) that vest on the one year anniversary of the date of grant. Each RSU represents a contingent right to receive one share of Genasys Inc. common stock and is eligible to be settled solely in shares of Genasys Inc. common stock.

2. The reporting person received a grant of 30,000 RSU's on March 12, 2019. These vested on March 12, 2020 and the reporting person received one share of Genasys Inc. common stock for each RSU.

3. No purchase price, conversion price or exercise price was paid because the restricted stock units converted into shares of common stock on a one-for-one basis.
