Explanation of Responses:

1. The rights accrued when and as cash dividends were reinvested in securities and vest on the same terms as the RSUs to which they relate with vested shares delivered shortly after vesting.

2. Includes 76,021 shares of restricted stock granted pursuant to Interval Leisure Group's 2013 Stock and Incentive Compensation, including 591 shares issued effective June 21, 2016 in connection with the company's cash dividend, all of which are subject to forfeiture under certain conditions.

3. Represents 7,060 RSUs resulting from conversion on May 11, 2016 of Starwood performance units and 55 RSUs issued effective June 21, 2016 in connection with the company's cash dividend.

4. Represents 64,841 RSUs originally granted on May 12, 2016 and 508 RSUs issued effective June 21, 2016 in connection with the company's cash dividend.
