Explanation of Responses:

1. This security represents restricted stock units (the "RSUs"). Each RSU represents a contingent right to receive one share of common stock of the Issuer. 25% of the RSU shall vest on August 31, 2018; the remainder will vest in equal monthly installments over the 36 month period following August 31, 2018, subject to continuous service by the Reporting Person to the Issuer on each such date.
