Terms of Business
USINGCUBEXEC
WeareCUBEXEC.Theseareourtermsofbusiness.Theyapplytotheserviceagreementwhichyouthe clienthave signed(whichwerefertosimplyas youragreement).Iftwo ormoreof youhavesignedthe
agreementyourliabilitiesarejointlyshared.Youragreement supersedesanypreviousagreementyoumayhavehadwithus forthesameservices, andcontainsallthetermsyou haveagreedupon.
SERVICESWEPROVIDEIN YOUR MONTHLY FEE
Workspaceservices:Wearetoprovidethefollowingworkspaceservicesduringnormalbusinesshours
MondaytoFriday:
Receptionofyour visitorsby staffpersonnel.
Heating and Air Conditioning(asapplicable)
Cleaning of office as applicable)
Servicing,maintenance andrepair of ourequipment
Useofkitchen, sanitaryfacilitiesand photocopyingareas
Specialarrangementsforuseofthesefacilitiesoutsideournormalbusinesshoursmaybespeciallyarranged.
Furnished officeaccommodation:Wearetoprovidethenumberof offices,designatedwork areasorroomsforwhichyouhaveagreedtopayInthebusinesscenter statedInyouragreement. Your agreement liststhe offices,dedicated workspacesorotherspaceallocationswe haveInitiallyallocated foryouruse. Wemay needtoallocate differentroomsand areasfromtimetotime,butthesewillbeof equivalentsizeandwewillattempttoobtain your approvalwithrespecttosuchdifferent roomsInadvance.Saidroom(s) willbeoccupiedbynomorethan two(2)persons.
Meeting Room Credit: During eachcalendarmonth while this agreementIsIneffect, youare entitled(subjecttoavailability) to the number of hoursspecifiedIn yourServiceAgreementfreeuse ofastandard4 personmeetingroominthis businesscenter or any otherCUBEXEC.Thesecreditsmaynotbe rolledover monthtomonth.

Thefollowingservices maybe Includedwithinestablished packagesoravailable for an extracharge Inaccordance withourpublished rates.Theseratesare subjecttochange fromtime totime.

Parking:ItIsacknowledgedthatparkingservicesprovidedInthisagreement-aresubjecttothetermsofthespace/garage operatorand maybe changed with 30 days' noticeif parkingoperatorImposes a rate increaseorchange toparkingcharges.Theparking space provided isfortheuse ofpassenger vehicles only. Client maynot wash,paintorrepair Inthis space or anyotherareaonthe premises,Only vehicles that are fullyoperationalland currently registeredmayparkonpremises.
USINGCUBEXEC
Comply withhouse, telecommunications and community rules:Youmust comply with any ruleswhichweImposegenerallyon users ofthe business center whether for reasons of healthorsafety,fireprecautions or otherwise.You must not bring animalsIntothebusiness centerunless theyareforserviceusefor ahandicappedIndividual. You must not playmusic oruseamplificationequipmentInawaythat can be heardoutside yourrooms.
ComplywiththeLaw: You must complywith all relevant laws and regulations In theconductofyour business. You must do nothing Illegal.Youmust notdoanythingthat may Interfere with the useofthe business center byus orby others,causeany nuisanceorannoyance,increase theinsurancepremiumswehave to pay orcauseloss or damage to us ortotheownerof any InterestInthe building which contains the businesscenter.You acknowledge that (a) the termsofthe foregoing sentence areamaterialInducementto us for the executionofyour agreementand(b) anyviolationby youofthe foregoingsentenceshallconstitute amaterial default byyouhereunder,entitling us to terminateyouragreement.
OnmovingIn:Youwillbeaskedtosign anInventoryofallaccommodation,furnitureandequipmentyouarepermitted to use,together withanoteofItscondition,and detailsofthe keysorentrycardsIssued toyou.
The natureof yourbusiness: You mayonlyusethe accommodation foroffice purposes,statedInyouragreement or subsequentlyagreedwithus.Officeuseof a"retail"nature,Including frequentvisitsby clients of thepublic,Is not permitted.Youmustnot carryona businesswhichcompetes withourbusinessofproviding servicedofficeaccommodation.You mustnotuse the nameCUBEXEC inany wayIn connectionwith yourbusiness.
Yourname and address:Youmay only carryonthatbusiness Inyour nameorsome othernamethat wepreviously agree. At yourrequestandcost weinclude that nameinthehousedirectoryatthe businesscenter,wherethisis available.You maynot putup anysigns onthedoorsto youraccommodation oranywhere else,whichis visible fromoutsidetheroomsyou are using. You may use the businesscenteraddress and your business address.
Careofour property: You must takecare of all parts of the business center,itsequipment, fittings and furnishings,which are utilized by you.Youmustnotalter any partof It.You are liable for damagecausedby you orthose in the business centerwithyour permissionoratyour invitation.
Officefurniture andequipment:You mustnotInstallanyfurniture or office equipment, cabling,Tlortelecom connections withoutourconsent, whichwe mayrefuse at ourabsolute discretion. Copiers, postage meters andotherequipment providedbyyou are prohibitedwithout priorwrittenapprovalofbusiness center.
Keysand security:Any keysor entrycardswhichwe let you useremainour property atalltimes..You must notmakeanycopiesof them or allow anyoneelseto use themwithoutourconsent.Any lossmustbe reported to usImmediately and youmustpaythe cost of replacement keysor cards aswell aschanging
locks,ifrequired.If youarepermitted tousethebusinesscenteroutsidenormalworkinghoursitIsyourresponsibility toJockthedoorstoyouraccommodationandtothebusinesscenterwhenyouleave.
Insurance:Itisyourresponsibility to arrangeInsurancefor ourownproperty whichyoubringIntothebusinesscenter and for yourown liability to your employeesand tothirdparties.
PROVIDING SERVICES
At thestart oftheagreement:Ifforanyreason wecannot providethenumberofrooms stated in youragreementby thedatewhen your agreementisdueto start wehavenoliability toyou forany type ofloss ordamages however you maycancelthe agreement without penalty.Wewill notchargeyouthe standardfee forrooms you cannotuse untiltheybecome available.
Accessto youraccommodation:We can enter your accommodation at anytime.However,unlessthereisanemergencywewillasa matterofcourtesy trytoinform you in advance whenweneed accesstoyour suitetocarry out testing, replacing or works other thanroutineInspection, cleaningandmaintenance. We willalsorespectsecurity procedurestoprotect the confidentialityof yourbusiness.
Suspension of services:Wemaybynotice suspend theprovisionofservices(including access to the accommodation) for reasons of political unrest,strikes,or other events beyondour reasonable control, Inwhichevent paymentof thestandard feewillalso be suspendedforthe same period.
Ourliability:Wearenot liable for any loss as aresultof ourfailure to provide any service as a resultofmechanicalbreakdown,strike,delay,failureofstaff,terminationofourInterestInthebuildingcontainingthebusinesscenterorotherwiseunlesswedosodeliberatelyoraregrosslynegligent.Wearealsonotliable
forany failure until you haveto toldus aboutitand given us a reasonable time to put It right.
CUBEXECAGREEMENT
Thenature of youragreement:Your agreementisthe commercialequivalentofan agreement for accommodationinahotel.Thewholeofthe businesscenterremainsonpropertyandIn ourpossessionandcontrol.Youacknowledgethat your agreement creates no tenancy Interest,leaseholdestateorotherreal
propertyInterestInyour favor with respecttotheservices totheaccommodation. We are givingyou justtheright to share with us the use of the businesscentersothatwecanprovidethe servicestoyou. The agreementIspersonaltoyouandcannotbetransferredtoanyoneelse.Wemaytransferthebenefitofyouragreementandourobligationsunderitatany time.
Duration: Youragreement lastsfor theperiod stated in it and will then automaticallybe extended for successive periodsequal tothe Initialperiod,butnolessthan 3 months,hereofuntil broughttoan end by youorbyus.The standard fee duringanyextension period shallbe equalto a 7%Increase orthe thencurrentstandard fee for your accommodation,butin no event lower thanthefee paid byyouduringthe then expiring period.
Bringingyouragreement to an end; Either of us can terminateyouragreementat the enddatestated Inthe agreement,or at-the endofanyextension period,by givingatleastsixtydays' notice tothe other whichshallbeeffectivethelastdayof thecalendar month In whichthelastdayofsuch sixty(60) day period fallsortheCenter'sterminationoftheir Management Agreement (as may be amended orrenewed fromtime totime)by and betweenCenter andCUBEXEC unlessterminatedearlierunder theprovisionsof thisServiceAgreement.
Endingyouragreementimmediately:Wemayendyouragreementimmediatelybygivingyounoticeif:
We have a reasonablebasisto believethat youmaynotbeableto pay fees ontime,
YouareIn breach ofone of yourobligationswhichcannot be put right or which we have given you notice toputright andwhich youhavefailed to putright withinfourteen days of that notice,or
Your conduct,or thatof someone atthebusiness center with your permissionoratourInvitation, IsIncompatible withor ordinaryofficeuse.
Ifweput an endto the agreement for anyofthese reasons it doesnotput an end toanythenoutstanding obligationsyou may have andyoumust:
Pay foradditionalservicesyouhave used,
Paythestandardfeefortheremainderoftheperiodfor whichyouragreementwouldhavelastedhadwenotendedit,or(iflonger)forafurtherperiodofthreemonths,
Indemnifyusagainst allcostsandlosses we Incur as aresultof the termination,and Forfeit theserviceretainer.
Ifthebusinesscenter Isnotavailable:Inthe unlikely eventthatweareno longer able to provide theservices and accommodationat the business center statedinyour agreement then youragreementwill endandyouwillonly have to paystandard feesup to thedateit ends andfortheadditionalservices you haveused. Wewilltrytofindsuitablealternativeaccommodationforyouatanother CUBEXEClocation.
When your agreementends:You are to vacate the accommodationimmediately,leavingit Inthesame conditionasItwas whenyoutook it, except for normal wear andtear.If you leave anyof yourown propertyinthebusiness center wemaydisposeof ItInany way wechoosewithoutowingyou any responsibilityforItorany proceeds of sale:
Centerwillforwardmalltoyouatyournewaddressandgiveoutyournewtelephonenumberviavoicemallmessagingforaminimumperiodof3monthsatarateof$125.00permonth,pluspostage,whichsumsshall be deducted from theserviceretainer.
Ifyoucontinueto usetheaccommodationwhen youragreement has ended:
You areresponsibleforanyloss,claim or liability we Incur asaresultofyour failure tovacate ontime,
| • | Wemay,atourdiscretion,permityouanextensionsubjecttoasurchargeonthestandardfee. |
Employees: While youragreementIsInforce and for a period of one year after it ends,youmustnot solicit or offeremploymenttoany of ourstaff.Ifyoudo, we estimateour lossattheequivalentof oneyear'ssalary for eachoftheemployees concerned and you must pay us damages equal to thatamount.
Notices:Allformal notices must beInwriting.
Confidentiality: Thetermsofyouragreementare confidential.Neitherofusmustdisclosethemwithoutthe other's consent unlessrequiredto dosobylaworan officialauthority.Thisobligationcontinuesafter youragreement ends.
Terms of Business
includingour equipment, property and personnelifdamagedor injured asaresultofactsInconnectionwith carrying out thisservicefor such Client.
Weight limitations: We mayprescribeweight limitations and determine the locations forsafes andother heavyequipmentorItems,whichshallInallcasesbeplaced Inthe Buildingsoas to distribute weightina manneracceptable tous which may Include theuseof such supportingdevicesas WE may require.Alldamages tothe Building causedbytheInstallationor removal ofany propertyofa Client, ordonebyaClient'sproperty while IntheBuilding,shallberepairedat theexpense ofsuchClient.
Corridor Doors: Corridor doors,when not inuse, shall be keptdosed.Nothing shall be swept orthrownInto thecorridors,halls,elevator shaftsorstairways.Nobirdsor animals shall be broughtInto orkeptin,on or about any Client'sDesignated premises.No portionofany Client's Designatedpremisesshall at anytimebe used oroccupiedas sleepingorlodging quarters.
Deliver/es:ToensureorderlyoperationoftheBuilding,noice,mineralorotherwater,towels,newspapers, etc.,shallbedeliveredtoanyDesignatedareaexceptbypersonsapprovedbyus.
Noise/Odors: Client shall notmakeor permit anyImproper, objectionable or unpleasant noises orodorsIntheBuilding orotherwiseInterfereinanywaywith otherClientsor personshavingbusiness withthem.
Becausenoisyequipment,loudmusicanddisturbingsoundsaredisruptivetoothers,theyarenotpermitted.
Machinery:Nomachineryof anykind(other than normal office equipment) shallbe operated by any Client onItsDesignatedarea withoutourpriorwrittenconsent,norshallanyClient useorkeep inthebuildinganyflammableorexplosive fluid orsubstance.Not allowedtobe used are businessmachines,reproductionequipment,heatingequipment,stove,vendingorcoinmachines,full sized refrigerators, or mechanical amplificationequipment,personal cookingdevices,spaceheaters,ellburning fluids, gasoline,kerosene for heating,warming orlighting,orcandles. NoarticledeemedextrahazardousoranyexplosivesshallbebroughtIntoBuilding,Premises, orSuite(s).Nooffensivegases, odorsorliquidswillbepermitted. Candlesmay be broughtIntoSuite(s} for decorationonly,andnot to be burned at anytime.
Smoking:ThispremisesIsanon.smokingBuilding.Smokingisnotpermitted.
lost/Stolen Property:We willnot be responsibleforloss ofstolen personal property,moneyorJewelryfrom Client's Designatedpremisespublic or common areasregardless ofwhethersuchlossoccurs whenthearea Islockedagainstentry ornot.
MallChutes:AllmallchuteslocatedintheBuildingshallbeavailableforusebyusandallClientsoftheBuildingaccording tothe rules oftheUnitedStates PostalService.
Wiring/Electrical:IfClientrefuses anyspecialInstallation or wiring for electrical use,telephone equipmentor otherwise,thepersonnel shall dosuchservicesatClient'sexpense,designated by us.
SecuringProperty:Clientshall,beforeleavingtheOfficeunattended,closeandsecurelyJockalldoorsandturnoffalllightsandotherelectricalapparatus.Anydamageresultingfromfailureto dososhallbepaid byClient.
AbandonedProperty:IfClientdoesnotremoveanypropertybelongingto ClientfromtheOfficeorSuiteby theendoftheterm,atouroption, Clientshallbeconclusivelypresumedtohaveconveyedandabandoned suchproperty at auctionorprivatesale andretaintheproceedstherefrom,orwe may,butshall notbeobligedto,removeand storethesame andClientshallpayus allcostsofsuch removalandstorage upondemand,clientwill notoccupyorpermitanyportionofCUBEXEC’S Suite PremisesorBuildingtobe occupiedorused forthemanufacture, sale,illegal use ofliquor, narcotics,tobacco orother substance orserviceInor ofanyform.
We shallhaveno responsibilitytoclientfor theviolation ornon-performance by anyotherclient ofanyoftheRules andRegulations,but shallusereasonable efforts touniformlyenforceall RulesandRegulations
