Explanation of Responses:

1. Annual independent director equity grant of the Issuer's restricted Class E common stock. The number of shares was calculated based on the Issuer's most recent published NAV as of the date of grant. The award vests 50% on the date of grant and 50% one year from the date of grant, subject to the independent director's continued service as a director of the Issuer during such vesting period.
