Remarks:

1. These shares represent restricted stock units and will be settled in LEDS common stock upon vesting. The restricted stock units vest on the date that is the earlier of (a)July 31, 2020 and (b)the date of the 2020 Annual Meeting of Stockholders, but shall vest earlier upon a change in control, in each case subject to the Reporting Person's continuous service through the applicable vesting date. Vested shares will be delivered to the reporting person within the first open trading window following the vesting date, but in no event later than the 15th day of the 3rd month following the end of the Company's tax year that includes the vesting date.
