Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 1, 2023, Cathy Smith, Chief Financial and Administrative Officer of Bright Health Group, Inc. (“Bright Health” or the “Company”), informed the Company that she plans to resign to pursue other opportunities, effective May 12, 2023. Jay Matushak, Senior Vice President, Bright HealthCare, will succeed Ms. Smith as Chief Financial Officer of the Company, effective upon Ms. Smith's departure.
Mr. Matushak, 49, has served as Senior Vice President, Bright HealthCare, since November 2022. Prior to that, he served as Chief Financial Officer of Bright HealthCare from May 2022 to November 2022, as interim Chief Executive Officer of Bright HealthCare from February 2022 to May 2022, and as Chief Financial Officer of Bright HealthCare from October 2021 to February 2022. Before joining Bright Health, Mr. Matushak served as the Chief Financial Officer of Blue Cross Blue Shield of Minnesota from April 2015 to October 2021. Prior to Blue Cross Blue Shield of Minnesota, Mr. Matushak spent fifteen years at UnitedHealth Group in various financial leadership roles within Optum and UnitedHealthcare.
The selection of Mr. Matushak to serve as Chief Financial Officer was not made pursuant to any arrangement or understanding with respect to any other person. There are no family relationships between Mr. Matushak and any director or executive officer of the Company and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
On May 3, 2023, the Company issued a news release announcing the appointment of Mr. Matushak as the Company's Chief Financial Officer. A copy of the news release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
