Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 11, 2022, Bright Health Group, Inc. (the "Company") announced that Simeon Schindelman, the Chief Executive Officer of Bright HealthCare, is stepping down from his role with the Company, effective March 11, 2022 (the "Effective Date"). Upon the Effective Date, Jay Matushak, Chief Financial Officer of Bright HealthCare, will serve as the interim Chief Executive Officer of Bright HealthCare while the Company conducts a market search for a new leader. Upon his departure, Mr. Schindelman will be entitled to receive separation benefits in accordance with the Company’s previously disclosed 2021 Severance Plan.
