Explanation of Responses:

1. Shares received upon distribution of assets from Manager Holdco, LLC to its members

2. Each LLC Unit represents the right to receive, upon the reporting person's request, one common share of the Issuer, or the cash value thereof, currently held by CCCAH Management Partners, LLC. One-third of these LLC Units are currently vested, and half of the remaining LLC Units will vest on each of July 25, 2017 and July 26, 2018.

3. One-third of these LLC Units are currently vested and exercisable. Half of the remaining LLC Units will vest and become exercisable on each of July 25, 2017 and July 26, 2018.

4. The LLC Units do not have an expiration date.
