EXPLANATORY NOTE

On January 9, 2020, Mr. Kasbian Nuriel Chirich, Cellect Biotechnology Ltd.’s (the “Company”) chairman of the board of directors notified the Company that he resign from his position as the Company’s chairman of the board as well as director, effective immediately. The Company thanks Mr. Chirich for his service with the Company.
