Explanation of Responses:

1. The reported securities represent restricted stock units (each, an "RSU"), and each RSU represents the contingent right to receive one share of JIVE common stock. 25% of the total RSU grant will vest on the first anniversary of April 8, 2016, and the remaining RSUs will vest in equal quarterly installments over the next eight quarters, subject to the Reporting Person's continued service through each vesting date.

2. 25% of the total shares subject to the option will vest on the first anniversary of April 8, 2016, and the remaining shares will vest in equal quarterly installments over the next eight quarters, subject to the Reporting Person's continued service through each vesting date.
