Item 5.07. Submission of Matters to a Vote of Security Holders.
The annual meeting of stockholders of Yuma Energy, Inc. (the “Company”) was held on June 12, 2019 (the “Meeting”) at which the Company’s stockholders voted on the proposals identified below.
At the close of business on April 26, 2019, the record date for the Meeting, 23,154,066 shares of common stock, $0.001 par value per share (the “Common Stock”), of the Company, and 2,076,472 shares of Series D Convertible Preferred Stock, $0.001 par value per share (the “Series D Preferred Stock”), of the Company, were outstanding and entitled to vote at the Meeting. Each share of Series D Preferred Stock was entitled to 1.682 votes.
The first proposal was the election of one individual to serve as a director of the Company for a one-year term expiring in 2020. The director elected and the tabulation of votes was:

The third proposal was a vote on the approval and adoption of an amendment to the Company’s amended and restated certificate of incorporation to effect, at the discretion of the Board of Directors of the Company (the “Board”), a reverse stock split of the shares of the Common Stock issued and outstanding or reserved for issuance, at an exchange ratio of not less than 1-for-10 and not greater than 1-for-25, such exchange ratio to be determined by the Board at its sole discretion. The votes on the proposal were:

All of the proposals were approved by the Company’s stockholders. Stockholders owning 11,987,695 shares of the Common Stock and 2,071,177 shares of the Series D Preferred Stock voted at the Meeting.
