Reference is hereby made to the Current Report on Form 8-K filed by Rich Uncles Real Estate Investment Trust I (the “Registrant”) with the Securities and Exchange Commission (the “SEC”) on September 20, 2019 disclosing, among other items, that the Registrant entered into an Agreement and Plan of Merger with RW Holdings NNN REIT, Inc. (“NNN REIT”), Katana Merger Sub, LP, a wholly-owned subsidiary of NNN REIT (“Merger Sub”), and Rich Uncles NNN REIT Operating Partnership, LP, pursuant to which the Registrant will merge with and into Merger Sub, with Merger Sub surviving as a direct, wholly-owned subsidiary of NNN REIT (the “Merger”).
On September 26, 2019, the Registrant issued Frequently Asked Questions regarding the proposed Merger. A copy of the Frequently Asked Questions is attached hereto as Exhibit 99.1 and is incorporated herein solely for purposes of this Item 7.01 disclosure.
