Explanation of Responses:

1. These shares are held by Arnott Investment Partners LP ("Arrnott"), a family investment partnership in which the Reporting Person owns an interest. The shares reported on this line represent the shares in which the Reporting Person owns a pecuniary interest. The reporting person disclaims beneficial ownership of securities held by Arnott except to the extent of his pecuniary interest therein.

2. AMC is a family management company that owns Common Stock. The Reporting Person owns a fractional interest in AMC and the shares reported on this line represent the shares in which the Reporting Person has a pecuniary interest, based on his fractional ownership of AMC. The Reporting Person disclaims beneficial ownership of the securities held by AMC except to the extent of his pecuniary interest therein.

3. vBManager is a family management company that owns Common Stock. The reporting person owns a fractional interest in VBManager and the shares reported on this line represent the shares in which the reporting person has a pecuniary interest, based on his fractional ownership of VBManager. The reporting person disclaims beneficial ownership of the securities held by vBManager except to the extent of his pecuniary interest therein.

4. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
