Explanation of Responses:

1. Settlement of performance rights granted February 21, 2014, in connection with the Company's 2014-2016 Executive Performance Plan, which are payable in stock.

2. Each restricted stock unit represents a contingent right to receive one share of Kellogg common stock.

3. The restricted stock units vest on February 17, 2020, the third anniversary of the grant date.

4. The option vests in three equal annual installments beginning February 17, 2018.
