Explanation of Responses:

1. 500 Stock Units Vested on March 23, 2016.

2. Represents a disposition of shares to Myers Industries, Inc. Such disposition is exempt under Section 16(b) under Rule 16b-3(e).

3. A Stock Unit is the grant of the right to receive an amount equal to the fair market value of a share on the date that payment is made with respect to the Stock Unit. The Stock Units vest in three equal installments on each of the first three anniversaries of the date of the grant.
