On May 10, 2021, Hilton Grand Vacations Inc. (the “Company”) will use a lender presentation (the “Lender Presentation”) in connection with meetings with prospective lenders to discuss a proposed term loan financing in connection with the Company’s previously announced proposed acquisition (the “Merger”) of Dakota Holdings, Inc. (“Diamond”), pursuant to the Agreement and Plan of Merger, dated March 10, 2021, by and among the Company, Hilton Grand Vacations Borrower LLC, Diamond and certain stockholders of Diamond (the “Merger Agreement”).
