| 1. On December 29, 2023 (the "Distribution Date"), the reporting person distributed on a pro rata basis the 14,912,990.19 shares of Class B Common Stock of Terra Property Trust, Inc. (the "Shares") held directly by it to its members. Each member of the reporting person received 2,252.02 Shares for each unit of membership interest held by such member. |
| 2. The reporting person previously owned its interests in the Shares indirectly through its ownership of interests in Terra JV, LLC, a Delaware limited liability company ("Terra JV"). Prior to the Distribution Date, Terra JV distributed the Shares to the reporting person, resulting in the reporting person owning the Shares directly. |
