Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On October 12, 2023, the Board of Directors of Connexa Sports Technologies Inc. (the “Company”) approved an amendment to the Bylaws of the Company to reduce the percentage of shares of stock, issued and outstanding and entitled to vote, to be present in person or represented by proxy in order to constitute a quorum for the transaction of any business from a majority to thirty three and one third percent (33 1/3%). A complete copy of the Company’s current Bylaws, including the language added by the foregoing amendment, which can be found in Article I, Section 6, is attached to this report as Exhibit 3.
