Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of CCXI common stock.

2. The restricted stock units awarded on March 5, 2018, vest in three equal installments on January 1, 2019, January 1, 2020, and January 1, 2021, subject to the Reporting Person's continued employment or service relationship with the Issuer on each such vesting date. Shares will be delivered to the Reporting Person within thirty (30) days following the vesting date.

3. The option was granted on March 5, 2018. 25% of the total number of shares of common stock subject to the option will vest on January 1, 2019, and 1/48th of the total number of shares of common stock subject to the option will vest monthly thereafter, subject to the Reporting Person's continued employment or service relationship with the Issuer on each such vesting date.
