Explanation of Responses:

1. The shares of common stock were issued by the issuer to Creative Medical Health, Inc. ("CMH") in satisfaction of a $40,000 obligation owed to CMH under the Patent Purchase Agreement, dated May 17, 2017, as amended on November 14, 2017, between the issuer, its wholly-owned subsidiary StemSpine, LLC, and the Reporting Person (the "Patent Agreement"). Pursuant to the Patent Agreement, the number of shares issued was calculated based on a 30% discount to the closing trading price of the common stock of $.0027 on September 28, 2020, and then doubled because such trading price was below $0.01. Mr. Warbington is President of CMH and disclaims beneficial ownership of the shares of common stock owned by CMH except to the extent of his pecuniary interest therein.
