1. Upon vesting, each restricted stock unit represents a contingent right to receive one share of common stock or an equivalent amount of cash.

2. The restricted stock units vest in three annual installments beginning March 30, 2019, subject to the Reporting Person's continued employment or service with the Company or its subsidiaries on the applicable vesting date.

3. The restricted stock units vest in three annual installments beginning April 3, 2018, subject to the Reporting Person's continued employment or service with the Company or its subsidiaries on the applicable vesting date.

4. The restricted stock units vest in three annual installments beginning March 29, 2020, subject to the Reporting Person's continued employment or service with the Company or its subsidiaries on the applicable vesting date.
