1. Shares acquired by Trustee pursuant to CSRA Matched Asset Plan upon the distribution of CSRA.

2. This option is exercisable in three equal annual installments beginning December 15, 2016.

3. This option is no longer exercisable beginning on this date.

4. The stock options vested one-third on May 16, 2015, one-third on November 30, 2015 and the remaining one-third vested 50% on May, 16 2016 and 50% in May 2017.

5. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.
