Explanation of Responses:

1. Represents shares of common stock withheld by The Howard Hughes Corporation to satisfy certain tax withholding obligations upon the vesting of 7,770 time-based shares of restricted stock previously granted to the reporting person. The grants of 4,920 and 2,850 such shares were previously reported and made under The Howard Hughes Corporation 2020 Incentive Plan and Amended and Restated 2010 Equity Incentive Plan. No shares were sold by the reporting person.

2. Represents a reduction of 2,053 shares granted pursuant to a performance-vesting restricted stock award and previously reported, but that did not vest in accordance with the terms of the award.
