This Registration Statement on Form S-8 is filed by the Registrant, relating to (a) 1,191,120 shares of its common stock, $0.0001 par value (the “Common Stock”), issuable to eligible employees of the Registrant under the 2019 Plan and (b) 295,372 shares of Common Stock issuable to eligible employees of the Registrant under the ESPP. On May 28, 2019, the Registrant filed with the Commission a Registration Statement on Form S-8, Registration No. 333-231784 (the “Original Registration Statement”), relating to shares of Common Stock issuable to eligible employees of the Registrant under the 2019 Plan and the ESPP. On March 24, 2020, the Registrant filed with the Commission a Registration Statement on Form S-8, Registration No. 333-237362 (the “2020 Registration Statement” and, together with the Original Registration Statement, the “Prior Registration Statements”), relating to additional shares of Common Stock issuable to eligible employees of the Registrant under the 2019 Plan and the ESPP. The Prior Registration Statements are currently effective. This Registration Statement relates to securities of the same class as those to which the Prior Registration Statements relate and is submitted in accordance with Section E of the General Instructions to Form S-8 regarding Registration of Additional Securities.
