Explanation of Responses:

1. The total amount of securities Directly owned include restricted stock awards issued under The FTD Companies, Inc. Amended and Restated 2013 Incentive Compensation Plan that vest in 25% annual increments on the anniversary of the award commencing one year after the award. Awards represented in this total are as follows: 3,750 shares outstanding from a grant awarded on March 9, 2015; 1,500 shares outstanding from a grant awarded on May 15, 2015; 5,000 shares outstanding from a grant awarded on March 7, 2016; and 1,500 shares outstanding from a grant awarded on May 13, 2016.

2. Option granted under The FTD Companies, Inc. Amended and Restated 2013 Incentive Compensation Plan that vests in 25% annual increments commencing on January 1, 2016.
