2. Represents shares of common stock withheld from the issuance of common stock to the reporting person to satisfy the reporting person's obligations for payment of withholding and other taxes due and the exercise price of options.

3. 100 percent of the underlying shares subject to the option vested on 3/31/2020 pursuant to the terms of Deckers Outdoor Corporation's 2015 Stock Incentive Plan.

4. 100 percent of the underlying shares subject to the option vested on 3/31/2019 pursuant to the terms of Deckers Outdoor Corporation's 2015 Stock Incentive Plan.
