Conduent Incorporated, a New York corporation (the “Company”), intends, subject to market conditions, to amend its Credit Agreement, dated as of December 7, 2016 (as supplemented by the First Incremental Agreement, dated as of January 3, 2017, as amended by Amendment No.1 dated as of April 7, 2017 and as amended by Amendment No.2 dated as of October 10, 2017), among the Company, its subsidiaries Conduent Business Services, LLC (f/k/a Xerox Business Services, LLC), Affiliated Computer Services International B.V. and Conduent Finance, Inc., the other guarantors party thereto, the lenders party thereto and JPMorgan Chase Bank, N.A., as administrative agent.
A copy of a portion of the lender presentation prepared in connection with the aforementioned amendment is furnished as Exhibit 99.1 to this Current Report on Form8-K and is incorporated herein by reference in its entirety.
