1. Reflects a 1-for-12 reverse stock split of the Issuer's outstanding shares effected July 8, 2016.

2. The option is subject to an early exercise provision and is immediately exercisable. One-fourth of the shares subject to the option vested on May 17, 2016, and 1/16th of the shares subject to the option vest each three months from May 9, 2016 thereafter.
