State below in reasonable detail why Forms 10-K and 10-Q could not be filed within the prescribed time period.:
NYIAX, Inc. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal period ended June 30, 2024 (the “Q2 Quarterly Report”) within the time period prescribed, as its focus is on the preparation, finalization and audit and review of the Company’s financial statements to be included in its Annual Report on Form 10-K for the year ended December 31, 2023 (“Annual Report”) and its form 10-Q for the three-month period ended March 31, 2024 (“Q1 Quarterly Report). Previously, the Company disclosed liquidity concerns have contributed to the delay in filing the 2023 10-K.
Upon filing of the Annual Report and Q1 Quarterly Report with the SEC, the Company expects to file the Q2 Quarterly Report.
The Company’s inability to complete and file its Form 10-Q in a timely manner will result in non-compliance with SEC reporting requirements.
As noted in Part II above, the Company believes that its Quarterly Report will be filed within the five-day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
