| 1. On March 14, 2023, the Issuer issued a capital call notice to certain investors that have committed to purchase its common shares. Pursuant to such capital call notice, the Reporting Person was obligated to make a capital contribution of $1,554,208, and on March 29, 2023 the Issuer issued 106,162 shares of Common Stock to the Reporting Person on such date. |
| 2. Holds interests of Stellus Private Credit BDC in Stellus Private Credit BDC Feeder LP. The ordinary shares are owned directly by Shotfut Ashrai Lo Sachir, which is a wholly-owned subsidiary of the Reporting Person. The Reporting Person is an indirect beneficial owner of the reported securities. |
