Explanation of Responses:

1. Mr. Sanders was granted 50,000 restricted stock units ("RSUs") in connection with his continuing employment with Leaf Group Ltd. ("LFGR"). Each RSU represents the right to receive one share of LFGR common stock upon vesting. Subject to Mr. Sanders's continued employment through the applicable vesting dates, (i) 1/3 of the RSUs will vest on March 1, 2018 and (ii) the remaining 2/3 of the RSUs will vest in 24 substantially equal installments on each monthly anniversary thereafter.

2. Includes 100,000 unvested RSUs.
