Explanation of Responses:

1. This entry relates to the annual grant of RSUs granted to each qualifying director pursuant to Control4's Director Compensation Plan. Pursuant to this Plan, the director qualifies for this grant provided that she/he has served as a director for at least nine months prior to the Annual Meeting. The Annual Meeting was held on April 30, 2019, and the Reporting Person qualified for this grant as of that date. The total common stock reported on Table I includes 7,180 shares of common stock underlying RSUs granted on June 1, 2018, which vests as to all of the shares on May 15, 2020. Pursuant to the Plan, the number of shares subject to this grant was calculated by dividing $125,000 by the closing price of Control4 stock on the date of our Annual Meeting.
