1. These shares are represented by restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Class A Common Stock of the Issuer. The shares underlying the RSUs will fully vest on the earlier of (i) the one year anniversary of the grant date and (ii) the day immediately prior to the Issuer's next annual meeting of stockholders following the grant date, subject to the Reporting Person's continuous service with the Issuer as of such vesting date.
