Explanation of Responses:

1. Represents the award of restricted share units ("RSUs") which will vest one-third on each of the first three anniversaries following the date of grant, subject to the reporting person's continued service. Vested RSUs are settled in common shares, no par value, of Bausch Health Companies Inc.

Remarks:

On March 4, 2024, the Reporting Person filed a Form 4 which, due to an inadvertent administrative error, incorrectly described the vesting schedule applicable to the grant of RSUs reported herein. This Form 4/A is being filed to correctly report the vesting schedule applicable to the RSUs, as set forth in Footnote 1 above.
