Explanatory Note:
On February 25, 2022, TDH Holdings, Inc. (the “Registrant”) issued a press release announcing its receipt of a Nasdaq notice of deficiency that the Registrant no longer meets the Nasdaq Capital Market’s continued listing requirement to maintain a minimum bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5550(a)(2). A copy of the press release is attached hereto as Exhibit 99.1
