Explanation of Responses: |
1. Represents the total number of performance-based restricted stock units ("PSUs") that are eligible to vest as a result of the Company having attained certain performance milestones, as determined by the Company's Compensation Committee on February 26, 2018 based upon the Company's audited financial statements for the 2016 and 2017 fiscal years. The PSUs were granted on February 16, 2016 pursuant to the Company's 2009 Incentive Compensation Plan. In accordance with the award agreement, 100% of the PSUs will vest on June 1, 2018, provided that the reporting person remains in the Company's service through such date. Each PSU represents a contingent right to receive one share of the Company's Class A Common Stock. |
2. Represents the total number of performance-based restricted stock units ("PSUs") that are eligible to vest as a result of the Company having attained certain performance milestones, as determined by the Company's Compensation Committee on February 26, 2018 based upon the Company's audited financial statements for the 2016 and 2017 fiscal years. The PSUs were granted on December 1, 2016 pursuant to the Company's 2009 Incentive Compensation Plan. In accordance with the award agreement, 1/3rd and 2/3rds of the PSUs that are eligible to vest will vest on July 1, 2018 and January 1, 2019, respectively, provided in each case that the reporting person remains in the Company's service through such date. Each PSU represents a contingent right to receive one share of the Company's Class A Common Stock. |
