You may experience immediate and substantial dilution in the net tangible book value per common share of your investment.
The price per common share being offered may be higher than the net tangible book value per common share outstanding prior to this offering. Assuming that an aggregate of 3,843,197 common shares are sold at a price of $13.01 per share, the last reported sale price of the common shares on the Nasdaq Global Select Market on March 15, 2018, for aggregate proceeds of $50,000,000 in this offering, and after deducting commissions and estimated aggregate offering expenses payable by us, you will suffer immediate and substantial dilution of $8.85 per common share, representing the difference between the as adjusted net tangible book value per common share as of December 31, 2017, after giving effect to this offering and the assumed offering price.
