Explanation of Responses:

1. Pursuant to the terms of the Agreement and Plan of Merger (the "Merger Agreement"), dated as of January 2, 2019, by and among the issuer, MedEquities OP GP, LLC, MedEquities Realty Operating Partnership, LP, Omega Healthcare Investors, Inc. ("Omega") and OHI Healthcare Properties Limited Partnership, upon the closing of the transactions contemplated by the Merger Agreement, each share of the issuer's common stock owned by the reporting person immediately prior to the effective time of the merger was converted into the right to receive 0.235 shares of Omega common stock and $2.00 in cash, without interest. The closing price of Omega's common stock on May 16, 2019 (the date immediately prior to the effective time of the merger) was $37.67 per share.
