Explanation of Responses:

1. Represents shares of common stock held of record by Charmnew Limited, over which shares Mr. Li has voting and dispositive power.

2. Charmnew Limited and a third party individual entered into a share exchange transaction whereby (i) Charmnew Limited agreed to transfer 166,666 shares of common stock (in book-entry form) to such individual and (ii) such individual agreed to transfer an equal number of shares of common stock (in physical certificate form) to Charmnew Limited. The share exchange transaction is being effected for no consideration.
