Messrs. Hochman, Sherman and Smith jointly exercise dispositive and voting power over the shares owned by OBIO. Messrs. Hochman and Sherman are directors of Motus GI Holdings, Inc. and have separately reported their beneficial ownership of the common stock reported herein.
