Explanation of Responses:

1. Restricted and performance stock grants vest ratably over three years beginning October 31, 2020, respectively, as follows: 6,700 shares, and 10,050 shares based upon certain performance criteria related to total shareholder return.

2. Indirect holdings reflect an adjustment of 1,209 additional shares acquired as a result of cash conversion and dividend reinvestment into shares of Company stock pursuant to the Reporting Person's participation in the Company's 401k plan.
