Explanatory Note:
On June 25, 2020, ReTo Eco-Solutions, Inc. (the “Company”) issued a press release announcing it received a notification letter from Nasdaq Listing Qualificationsadvising the Company that as a result of the closing bid price of the Company’s common shares having been at $1.00 per share or greater for at least ten consecutive business days, from June 10, 2020 to June 23, 2020, the Company has regained compliance with Nasdaq’s minimum bid requirements, Listing Rule 5550(a)(2).A copy of the press release is attached hereto as Exhibit 99.1
