Explanatory Note:
On August 13, 2020, ReTo Eco-Solutions, Inc. (the “Company”) issued a press release announcing it has until October 31, 2020 to file its annual report on Form 20-F for the year ended December 31, 2019 to regain compliance with Nasdaq Listing Rule 5250(c)(1), which requires timely filing of periodic financial reports with the U.S. Securities and Exchange Commission. A copy of the press release is attached hereto as Exhibit 99.1
