Explanatory Note:
On December 6, 2022, ReTo Eco-Solutions, Inc. (the “Company”) issued a press release announcing its receipt of a notice from Nasdaq Stock Market (“Nasdaq”) informing the Company that it is eligible for an additional 180 calendar day period, or until May 30, 2023, to regain compliance with the Nasdaq’s continued listing requirement to maintain a minimum bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5550(a)(2). A copy of the press release is attached hereto as Exhibit 99.1.
